Welcome to Seldeo. These Terms of Service (the "Terms") are a contract between you and Seldeo, Inc., a North Carolina corporation ("Seldeo", "we", "our"). They govern your use of the Seldeo mobile application and the website at www.seldeo.com (together, the "Service"). Please read them carefully.
1. Acceptance of the Terms
By creating an account, downloading the app, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
Our Community Guidelines describe the specific behaviour we expect on the Service. Violating them violates these Terms.
2. Eligibility
You must be at least 13 years old to use Seldeo. If you live in the European Economic Area, the United Kingdom, or another jurisdiction with a higher minimum digital-consent age, you must meet that age. By using the Service you represent that you are old enough to do so under the law where you live.
If you use Seldeo on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Your account
You are responsible for the activity on your account and for keeping your sign-in credentials secure. Notify us at support@seldeo.com right away if you suspect unauthorized access. You may not share your account, sell it, or transfer it to another person, and you must give us accurate, up-to-date information.
4. Your content
Seldeo is a service for sharing your moments. You own the photos, videos, voice notes, messages, captions, memorials, and other content you create on the Service ("Your Content"). We don't claim ownership of Your Content.
To run the Service we need a license from you. When you post, upload, or otherwise share content on Seldeo, you grant Seldeo a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for technical purposes such as resizing or transcoding), publicly display, and distribute Your Content, solely to operate, provide, and improve the Service. This license ends when you delete Your Content or your account, except (a) for content you have shared with others who have copied or saved it, (b) for reasonable backup and operational copies that age out on our normal schedule, and (c) where we are required to retain the content for legal or safety reasons.
You are responsible for Your Content. You represent that you have the rights necessary to grant the license above and that Your Content does not infringe anyone's rights or violate any law.
5. Acceptable use
You agree not to:
- Use the Service to violate any law or regulation.
- Post content that is sexually explicit involving minors, or that exploits, abuses, or endangers a minor in any way.
- Post content that promotes terrorism, extreme violence, or self-harm; or that incites hatred or violence against people based on their identity.
- Harass, bully, stalk, or threaten another person; share private information about someone without their consent ("doxxing"); or impersonate someone else.
- Engage in spam, fraud, phishing, market manipulation, or misleading advertising.
- Distribute malware, attempt to gain unauthorized access to other accounts or our systems, disrupt our infrastructure, or circumvent security or rate-limit controls.
- Scrape, crawl, or automate access to the Service except through interfaces we explicitly offer.
- Use the Service, or content of other users visible to you on it, to train machine-learning models.
- Resell or commercially exploit the Service without our written permission.
- Reverse-engineer, decompile, or attempt to extract the source code of the app, except to the extent applicable law expressly permits.
We may, but are not required to, monitor or review content on the Service. We may remove content, suspend or terminate accounts, and take other actions we believe are appropriate to keep the Service safe and to enforce these Terms.
6. Reporting and enforcement
You can report content or another user's behavior from inside the app (tap the menu on the relevant post, comment, or profile) or by emailing support@seldeo.com. We review reports and take action based on our community standards and these Terms.

7. Intellectual property
Seldeo, the Seldeo logo, the app design and code, our marketing site, and other materials we create are owned by Seldeo and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms. We reserve all rights not expressly granted.
Some background-music tracks available in the app are licensed from third parties (for example, Soundstripe) and are subject to their own license terms, which we display where the track appears.
8. Third-party services and links
The Service may interoperate with or link to third-party services (for example, Apple Push Notification service, Firebase, Google Cloud Vertex AI, Microsoft Azure AI (Cognitive Services and OpenAI Service), Microsoft 365 with Microsoft Graph for transactional email, Agora real-time communications, Soundstripe music licensing, the App Store, and Google Play). Those services are operated by third parties and are subject to their own terms and privacy policies. We are not responsible for them.
9. Paid features
As of Version 1.1 of these Terms, Seldeo does not offer paid features. If we introduce subscriptions, in-app purchases, or other paid offerings, we will update these Terms with the applicable billing and refund terms and give you notice before the change takes effect.
When paid features do launch, the following will apply unless we tell you otherwise for a specific product:
- In-app purchases through Apple or Google. Charges are billed by the App Store or Google Play under their own billing terms. Refunds are governed by the platform where the purchase was made.
- Subscriptions and auto-renewal. Any subscription auto-renewal is disclosed clearly at purchase. You can cancel at any time from your App Store or Google Play account settings; cancellation takes effect at the end of the current billing period.
- Taxes. Prices are shown exclusive of applicable taxes unless the platform indicates otherwise.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, THAT DEFECTS WILL BE CORRECTED, OR THAT YOUR CONTENT WILL ALWAYS BE PRESERVED. YOU USE THE SERVICE AT YOUR OWN RISK.
Some jurisdictions do not allow the disclaimer of certain warranties; in those places, the disclaimers above apply to the fullest extent permitted by law.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SELDEO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100), OR (B) THE AMOUNT YOU HAVE PAID US, IF ANY, IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY.
Some jurisdictions do not allow the limitation of certain damages; in those places, our liability is limited to the fullest extent permitted by law.
12. Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Seldeo and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) Your Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any law or the rights of a third party.
13. Termination
You may stop using the Service at any time. You can delete your account from inside the app at Settings → Account → Delete account.
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe in good faith that you have violated these Terms, that your account presents a safety or security risk, or that we are required to do so by law. Sections that by their nature should survive termination (including ownership, license grants, disclaimers, limitations of liability, indemnification, and governing law) will survive.
13a. Dispute resolution
We hope disputes can be resolved informally. Please write to us at legal@seldeo.com with the details of your concern and give us 60 days to reach a resolution before starting a formal proceeding.
No class actions. To the fullest extent permitted by law, you and Seldeo agree that any dispute will be brought in your individual capacity and not as a class action, collective action, or representative action.
14. Governing law and venue
These Terms are governed by the laws of the State of North Carolina and applicable U.S. federal law, without regard to conflict-of-laws principles. You and Seldeo agree to the exclusive jurisdiction of the state and federal courts located in North Carolina for any dispute arising out of or relating to these Terms or the Service, except where applicable law gives you the right to bring a claim in your local courts.
15. Changes
We may update these Terms from time to time. When we do, we will revise the version number and effective date at the top of the page and, for material changes, give you reasonable notice through the app or by email before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. Older versions remain available at /legal/terms/v<number>/.
16. Miscellaneous
These Terms, together with our Privacy Policy and any other policies referenced in them, are the entire agreement between you and Seldeo regarding the Service. If a provision of these Terms is held to be unenforceable, the rest of the Terms remains in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
